M&A Transactions

Compass Precision, LLC, a portfolio company of Main Street Capital Holdings, LLC, has acquired Trutron Corp., a provider of extreme precision, complex geometry parts within commercial aerospace, defense, and other commercial markets. Terms of the transaction were not disclosed.

IonQ, Inc. (NYSE: IONQ) has agreed to acquire Skyloom Global Corp., a provider of Space Development Agency ("SDA")-qualified Optical Communications Terminals ("OCTs") for both satellite-to-satellite and satellite-to-ground laser communications within defense and space markets. Terms of the transaction were not disclosed.

Palladyne AI Corp. (NASDAQ: PDYN) has acquired Guidetech, LLC as well as Warnke Precision Machining, LLC and Mkr. Fabricators, portfolio companies of The Crucis Companies, to form Palladyne Defense, a provider of patented embodied Artificial Intelligence ("AI"), Unmanned Aerial Vehicle ("UAV") and loitering munitions components and systems, and advanced engineering and manufacturing capabilities within defense markets. The transaction is valued at $31 million.

Quiet Professionals, LLC, a portfolio company of McNally Capital, has acquired Spathe Systems, a provider of cybersecurity, cloud computing, DevSecOps, and IT network infrastructure solutions for private sector and U.S. Federal government defense end markets. Terms of the transaction were not disclosed.

TekSynap Corp. has acquired JBA, Inc, a provider of specialized IT services for private sector and U.S. Federal government intelligence and national security markets. Terms of the transaction were not disclosed.

Viking Global Investors has acquired Machine Sciences Corp., a provider of precision-engineered metallic components for next generation space, satellite, UAV, and Counter-Unmanned Aerial Systems ("CUAS") platforms within defense and space markets. Terms of the transaction were not disclosed.

Voyager Technologies, Inc. (NYSE: VOYG) has acquired Estes Energetics, a provider of energetics, propulsion materials, critical chemical compounds, and solid rocket motors supporting missile defense and tactical munitions within defense and space markets. Terms of the transaction were not disclosed.
